Matterport Terms and Conditions for Academic and Non-Commercial Use of Spaces

These Matterport Terms and Conditions for Academic and Non-Commercial Use of Spaces (“Use Terms”) shall additionally be governed by the terms and conditions of Matterport Cloud Subscription Agreement (“CSA”), which is incorporated herein by reference; provided, however, that, in the event of any conflict between these Use Terms and the terms of the CSA, these Use Terms shall control. Undefined capitalized terms used in these Use Terms will have the meaning set forth in the CSA.

You hereby grant Matterport a non-exclusive, fully paid and royalty-free, transferable, sub-licensable, worldwide, perpetual, irrevocable license to use, store, reproduce, distribute, modify and prepare derivative works from the Designated Spaces (defined below) for academic and/or non-commercial purposes. Without limiting the generality of the foregoing license, Matterport may publicly provide image data from the Designated Spaces, including without limitation 3D data and panoramic data, to third-party academic and/or non-commercial researchers for research and development relating to deep learning, machine learning systems and other areas. Matterport will provide this image data for research use only and will contractually prohibit the recipients from using the Designated Spaces, or any information or technology derived from the Designated Spaces, for commercial purposes. “Designated Spaces” means Your Spaces that You have submitted to Matterport, via a web form on the Matterport website, for use in connection with academic and non-commercial purposes.

You understand and agree that Matterport will have no ability to retrieve this image data, or remove it from this academic or non-commercial research, once the data has been provided to the researchers. Accordingly, You will have no right to revoke the rights granted in these Use Terms. This image data will be distributed without any written information that contains Your name, company name, website, attribution information or other personal information that You provide, or the address or location of the Designated Spaces. Notwithstanding the foregoing, personal information may be displayed in Designated Space imagery, and Matterport has no way to prevent this display. In addition, someone familiar with the location of the Designated Spaces may have the ability to identify their location from the imagery, and Matterport has no way to prevent such identification.

You hereby represent and warrant that You have all necessary rights, consents and permissions necessary to grant the licenses granted herein. You waive the benefit of any law, doctrine or principle known as "droit moral," moral rights, artists’ rights, rights of artistic integrity or any similar law, doctrine or principle, however denominated.
