Matterport Submission Licenses Agreement (“Submission Terms”)

By submitting your Matterport Space through this form, you (“Submitter”) agree to the following terms, which supplement the Matterport Platform Subscription Agreement (“PSA”) and Privacy Policy. In the event of any conflict between these Submission Terms and the PSA, these SubmissionTerms shall govern with respect to the submitted content.

1. License Grant

You hereby grant to Matterport, LLC and its affiliates (“Matterport”) a non-exclusive, worldwide, royalty-free, fully paid, irrevocable, perpetual, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display the submitted Matterport Space (“Space”) and any associated content (collectively, the “Submission”) in any media or format, for any purpose including commercial purposes, including but not limited to the following:

  • Display and Distribution.  Matterport may display these  as part of its web and mobile content galleries. These Matterport Spaces may be used in content galleries that appear on Matterport’s website, and on its mobile apps, which allow users to explore libraries of 3D content. 

  • Marketing and Promotion.  Matterport may use these Spaces for marketing, advertising, and publicity purposes (social media, marketing assets, media outreach). 

  • Derivative Works.  Matterport may create related digital content from these Matterport Spaces, and syndicate these Matterport Spaces and the related digital content for public display on relevant third-party platforms. In addition, Matterport may, at no charge to you, create derivative works from your Matterport Spaces, including but not limited to Schematic Floor Plans, Defurnished Spaces,  point clouds, reflected ceiling plans, videos, stills and other related digital content. Matterport may also distribute your Matterport Spaces and this related digital content for public display on relevant third-party platforms.

  • Research and Development: Matterport may publicly provide image data from these Matterport Spaces, including without limitation 3D data and panoramic data, to third-party academic researchers for research and development relating to deep learning, machine learning systems and other areas. Matterport will provide this Matterport Space data for research use only and will contractually prohibit the recipients from hosting the Matterport Spaces for showcasing purposes or replicating the Matterport 3D Showcase experience. Matterport will have no ability to retrieve this Matterport Space, or remove it from this academic research, once the data has been provided to the researchers. Accordingly, you will not have any right to revoke the rights granted in this paragraph. This Matterport Space data will be distributed without any written information that contains your name, company name, website, attribution information or other personal information.

  • Display of Embed Code.  Matterport may display the embed code for these Matterport Spaces, facilitating other users to display these Matterport Spaces on their websites or mobile sites by means of a link to these Matterport Spaces hosted on the Matterport platform. Any users who choose to embed this link will be subject to the applicable restrictions set forth in Matterport’s Terms of Use. 

In addition, the license herein includes, among other things, the right for Matterport to incorporate the Matterport Space in video or audiovisual content, text, graphics, artwork, photographs, templates, and other content or materials created by or on behalf of Matterport or its licensees. 

Notwithstanding the foregoing, and subject to the Section 8 of the PSA, you understand that personal information may be displayed in the Matterport Space’s imagery, and Matterport has no way to prevent this display. For example, someone familiar with the location of the Space may have the ability to identify their location from the Matterport Space’s imagery, and Matterport has no way to prevent such identification.

2. Publicity Release

You consent to Matterport’s use of your name, company name, website, and any other attribution information you provide in connection with the Submission. You waive any right to inspect or approve the use of such materials.

3. Ownership and Representations

You retain ownership of your Submission pursuant to the PSA. You represent and warrant that:

  • You own or have all necessary rights, licenses, consents, and permissions to grant the rights described in this Submission Agreement.

  • The Submission does not infringe or violate any third-party rights, including intellectual property, privacy, or publicity rights.

  • You have obtained all necessary consents from individuals depicted in the Submission.

4. Revocation and Removal

You may request removal of your Submission from Matterport-owned platforms (e.g., website, mobile apps) by contacting customer support. Matterport will make reasonable efforts to comply with such requests. However, this does not apply to content that has already been disseminated, archived, or incorporated into previously distributed materials, third-party platforms, or academic research datasets. Once content has been shared publicly or with third parties, Matterport cannot guarantee its removal or retrieval.

Additionally, Matterport is not responsible for, and cannot remove, any use of your Submission by third parties who may have reproduced or referenced it in derivative content (e.g., screenshots in articles, embedded links, or marketing collateral). 5. No Compensation

You acknowledge and agree that you will not receive any compensation, royalties, or other payment for the use of your Submission.

6. Indemnification

You agree to indemnify, defend, and hold harmless Matterport and its affiliates from any claims, damages, or liabilities arising out of or related to your Submission or your breach of these Submission Terms.

7. Entire Agreement

These Submission Terms, together with the PSA and Privacy Policy, constitute the entire agreement between you and Matterport regarding your Submission.
